• Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of any aspect of the Site;

We reserve the right to investigate any suspected violation of these prohibitions and to take appropriate legal action, including reporting to law enforcement authorities, suspending or terminating accounts, or pursuing civil remedies.

The Site and all of its contents, including but not limited to text, graphics, logos, photographs, images, audio and video clips, menu designs, brand identifiers, software, code, and the overall look and feel of the Site (collectively, "Content"), are owned by or licensed to Starbird Chicken and are protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and other relevant statutes and common law protections.

5.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your personal, non-commercial use in connection with ordering food and accessing related information. This license does not include the right to:

The Starbird Chicken name, logo, taglines, and all associated product names and marks are trademarks or registered trademarks of the Company. Nothing in these Terms grants you any right or license to use any of our trademarks, service marks, trade names, or logos without our prior written approval. Unauthorized use of our trademarks is strictly prohibited and may constitute trademark infringement under federal and state law.

5.4 User-Submitted Content

If you submit any reviews, feedback, comments, photos, or other content to the Site or through any of our social media channels (collectively, "User Content"), you grant Starbird Chicken a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Content in any media format for any purpose, including marketing and promotional purposes. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable law.

6. Food Orders, Pricing, and Payment Terms

6.1 Order Placement and Confirmation

When you place an order through the Site, you are making an offer to purchase food products subject to these Terms and any additional terms presented at the time of ordering. We reserve the right to accept or decline any order at our sole discretion. An order is only confirmed once you receive a confirmation notification via email or within the Site interface.

6.2 Pricing and Menu Changes

All prices displayed on the Site are in United States Dollars (USD) and are subject to applicable state and local sales taxes where required by law. Menu items, pricing, and availability are subject to change at any time without prior notice. We are not responsible for pricing errors on the Site; in the event of a pricing error, we reserve the right to cancel your order and provide a full refund.

6.3 Payment Processing

By providing payment information, including credit card, debit card, or other payment method details, you represent that you are authorized to use the payment method and that the information provided is accurate and complete. All payment transactions are processed through secure third-party payment processors. We do not store full payment card information on our servers. We reserve the right to use third-party payment service providers, and your payment information will be subject to such providers' terms and privacy policies.

6.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. Refunds or credits will be issued at our sole discretion on a case-by-case basis. Orders may only be cancelled prior to preparation and confirmation at the restaurant level.

6.5 Taxes

You are responsible for all applicable taxes, fees, and charges associated with your order, including but not limited to state and local sales taxes, delivery fees, and service charges. We will collect and remit applicable sales tax as required by the laws of the state and locality in which the order is fulfilled.

7. Allergen and Nutritional Information

Starbird Chicken takes food safety seriously and endeavors to provide accurate allergen and nutritional information on the Site. However, our menu items are prepared in kitchen environments that handle common allergens including, but not limited to, gluten, dairy, eggs, tree nuts, peanuts, soy, fish, and shellfish. Cross-contamination may occur. We cannot guarantee that any menu item is completely free from any specific allergen.

If you have food allergies, sensitivities, or dietary restrictions, you should consult your physician before consuming our products and are encouraged to speak directly with restaurant staff at the time of ordering. We are not liable for any allergic reactions, adverse health effects, or other consequences arising from the consumption of our food products.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. STARBIRD CHICKEN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE SITE;
• WARRANTIES THAT DEFECTS IN THE SITE WILL BE CORRECTED;
• WARRANTIES REGARDING THE QUALITY, SAFETY, OR SUITABILITY OF ANY FOOD PRODUCTS FOR ANY PARTICULAR INDIVIDUAL'S DIETARY NEEDS OR HEALTH CONDITIONS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR WARRANTIES ARE LIMITED TO THE MINIMUM EXTENT PERMITTED BY APPLICABLE LAW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, STARBIRD CHICKEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO:

• YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES;
• ANY ERRORS OR OMISSIONS IN ANY CONTENT ON THE SITE;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• THE CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE SERVICES;
• ANY FOOD PRODUCT PURCHASED THROUGH THE SITE;
• ANY OTHER MATTER RELATING TO THE SITE OR SERVICES;

EVEN IF STARBIRD CHICKEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED THE GREATER OF (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT PAID BY YOU TO STARBIRD CHICKEN IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN US AND YOU. THE SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

11. Indemnification

You agree to defend, indemnify, and hold harmless Starbird Chicken and its respective officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use of the Site or Services in any manner not expressly authorized by these Terms;
• Your submission of any User Content that infringes any third-party rights or violates any applicable law;
• Your negligent or wrongful conduct;
• Any misrepresentation made by you in connection with your use of the Services;
• Any claim by a third party arising from your use of the Services.

We reserve the right to assume exclusive control of the defense of any matter for which you are required to indemnify us, at your expense. You agree to cooperate with our defense of any such claims. You shall not settle any claim without our prior written consent.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Starbird Chicken's principal place of business is located, without regard to conflict of law principles. To the extent applicable, the Federal Arbitration Act (9 U.S.C. § 1 et seq.) shall govern the interpretation and enforcement of the arbitration provisions of these Terms.

These Terms are also subject to applicable provisions of the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive trade practices. Where applicable, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) may apply to users located in the State of California with respect to the collection and processing of personal information.

Any disputes not subject to arbitration as provided below shall be subject to the exclusive jurisdiction of the state and federal courts of competent jurisdiction located in the United States. You hereby consent to personal jurisdiction in such courts and waive any objection to venue or jurisdiction.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Starbird Chicken at [email protected] and provide a written description of the dispute, including your name, contact information, a description of the nature and basis of the claim, and the specific relief you are seeking. We will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice. If the parties are unable to resolve the dispute informally within that period, either party may proceed to arbitration as provided below.

13.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, YOU AND STARBIRD CHICKEN AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT. Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding.

13.3 Class Action Waiver

YOU AND STARBIRD CHICKEN AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing arbitration agreement, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration, and either party may bring claims in small claims court for disputes within that court's jurisdiction.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or Services. Starbird Chicken reserves the right, at its sole discretion and without prior notice or liability, to:

• Suspend or terminate your access to the Site or Services at any time and for any reason, including but not limited to breach of these Terms;
• Discontinue, modify, or restrict any aspect of the Services at any time;
• Refuse service to any person for any lawful reason.

Upon termination, your right to use the Site and Services shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions relating to intellectual property rights, warranty disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

15. Changes to Terms

We reserve the right to revise, update, or replace these Terms of Service at any time at our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or by displaying a prominent notice on the Site. Changes will be effective immediately upon posting to the Site unless otherwise stated.

Your continued use of the Site or Services after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Site and Services immediately. We encourage you to review these Terms regularly to stay informed of any changes.

16. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or contrary to applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect as if the invalid or unenforceable provision had never been included.

17. Waiver

The failure of Starbird Chicken to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any additional terms and conditions that apply to specific features or promotions offered on the Site, constitute the entire agreement between you and Starbird Chicken with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to such subject matter. In the event of any conflict between these Terms and any additional terms, these Terms shall control unless otherwise expressly stated.

19. Force Majeure

Starbird Chicken shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, public health emergencies, fires, floods, earthquakes, government actions, labor disputes, supply chain disruptions, civil unrest, acts of terrorism, cyberattacks, utility failures, or any other event beyond our reasonable control (collectively, "Force Majeure Events"). In the event of a Force Majeure Event, we will use commercially reasonable efforts to resume normal operations as soon as practicable.

20. Electronic Communications

By using our Site or Services, you consent to receiving communications from us electronically, including but not limited to emails, order confirmations, receipts, promotional messages (where you have opted in), and notifications. You agree that all such electronic communications satisfy any legal requirement that such communications be in writing. You may opt out of promotional communications at any time by following the unsubscribe instructions in any promotional email or by contacting us directly.

21. Children's Use of the Site

The Site is not directed to children under the age of thirteen (13), and we do not knowingly collect personal information from children under the age of 13. If you are under the age of 13, you may not use this Site.
